I was a partner in a pharmaceutical agency where clients demanded documented processes. Fair enough. But I watched us create beautiful policy documents that nobody could actually follow. The gap between documented and operational wasn't a failure of discipline—it was a failure of integration.

I asked for documentation. I organised knowledge-sharing sessions. But I never made knowledge capture mandatory. I didn't integrate it into workflows. I didn't build systems that made documentation the natural byproduct of doing the work.

So when we wound down the business in 2025, all that AI expertise walked out the door.

That's on me. I understood governance intellectually—I had pharmaceutical client experience proving its value. But I didn't implement it in my own business for our most valuable asset.

The ICO has been enforcing this gap for years. Their language is explicit: "The existence of a document is not enough to achieve compliance with the GDPR."

Take Tuckers Solicitors. £98,000 fine in 2022. They had a GDPR policy requiring multi-factor authentication. Perfect compliance theatre. They just never implemented MFA. Policy existed. Practice didn't.

Or Capita, fined £14 million in October 2025. The ICO's guidance was blunt: firms should "strive to operate in line with their own internal organisational policies" because the ICO will hold them to these standards.

That's the policy catch-22. Comprehensive documented policies without operational implementation actually increase regulatory exposure.

Here's why policy-only approaches fail:

Policies work when compliance is simple. Don't click phishing links. Use approved passwords. Simple binary choices with immediate feedback.

Policies fail when compliance requires workflow changes. When following the policy means three approval gates for a tool needed now to meet a client deadline. When the approved solution takes 45 minutes while the unauthorised one takes 90 seconds.

CyberArk's 2024 study of 14,000 employees found that 64% intentionally bypass security controls when they conflict with productivity. They're not negligent. They're trading compliance for effectiveness when the policy makes their job impossible.

Wall Street firms learned this the hard way. Over $2 billion in SEC fines from 2021-2024 for employees using WhatsApp despite explicit bans, annual training, and personal liability threats.

The most regulated industry in the world, with unlimited compliance budgets, cannot enforce tool bans through policy.

Test your current approach

Before you write another policy or send another "AI tools banned" email, test whether you're building governance or compliance theatre.

I've asked these questions in discovery conversations with agency owners. The honest answers reveal everything:

1. If you asked "Who's using unauthorised AI tools?" would you get honest answers?

If your team would hide usage out of fear of punishment, you don't have governance. You have compliance theatre that's driving risk underground.

2. Can your team explain WHY certain AI usage is restricted—not just THAT it's restricted?

If they can only cite "the policy says no," they're following rules without understanding risk. That breaks down the moment a new tool emerges that the policy doesn't cover.

3. When someone needs AI for urgent client work, do they ask permission or ask forgiveness?

If it's the latter, your approval process is too slow for operational reality. People are routing around it.

If three or more make you uncomfortable, you're likely building compliance theatre rather than governance.

And recognising that gap? That's actually progress.

Here's something you can start immediately:

Ask your three most AI-proficient team members: "Show me the most valuable AI workflow you've discovered." Watch what they show you. Then ask: "Is this documented anywhere the organisation can access?"

If the answer is no, you've just identified where to start building governance. Not with policies. With knowledge capture.

Traditional compliance asks "Are you following the rules?"
Governance asks "Are we capturing what works?"

That shift in question changes everything.
